1. Acceptance of these terms
These Terms of Service ("Terms") are a legal agreement between you and Trade5 ("we", "us", "our") governing your use of Trade5 (also called "TradeFive"), including our website, web app and related services (the "Service").
By creating an account, checking the box to accept these Terms, or using the Service, you agree to these Terms, our Privacy Policy and our Risk Disclaimer, which are part of these Terms. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service you confirm that you meet these requirements and that using the Service doesn't violate any law that applies to you. If you use the Service on behalf of an organization, you confirm you are authorized to bind it to these Terms.
3. Accounts & security
- You can create an account with an email address and password (which requires email verification) or with "Continue with Google".
- You must give accurate information and keep it up to date.
- You are responsible for keeping your password and devices secure and for all activity under your account. Use a strong, unique password.
- Tell us promptly at [CONTACT EMAIL] if you suspect unauthorized access to your account.
- Accounts are personal. Don't share, sell or transfer your account.
4. The Service
Trade5 is an educational trading-journal and practice tool. It lets you record and review your own trades, define personal trading rules, document setups, replay historical market data in a simulated practice mode, study with flash cards, and watch links to third-party educational videos.
We may change, add or remove features over time. If we remove a core paid feature during a paid period, we will give you reasonable notice and, where required by law, a remedy such as a pro-rated refund.
We aim to keep the Service available but don't guarantee it will be uninterrupted or error-free. We recommend you regularly use the in-app JSON export to keep your own backup.
5. No financial advice · not a broker · simulated results
Trade5 does not provide investment, financial, tax or legal advice.
- Not advice. Nothing in the Service, including setups, rules, checklists, grades, insights, flash cards, videos or any other content, is a recommendation to buy, sell or hold any security, futures contract, currency, cryptocurrency or other instrument, or a statement that any strategy is suitable for you.
- Not a broker. Trade5 is not a broker-dealer, futures commission merchant, investment adviser, commodity trading advisor or exchange, and is not registered as any of these.
- No trade execution. The Service does not connect to your brokerage, place orders or hold funds. Trades you log are records you enter yourself.
- Simulated results. Practice-mode results are hypothetical and simulated. They do not represent actual trading and do not guarantee or predict future results.
You are solely responsible for your trading decisions and their results. Please read the Risk Disclaimer.
6. Subscriptions & billing
6.1 Plans
The Service has a Free plan and paid Pro and Max plans. Paid plans are offered with monthly or yearly billing. The features included in each plan are described on our pricing page. The price, currency, billing period and any taxes are shown to you at checkout before you pay, and that information forms part of these Terms. There is no free trial of Pro or Max.
6.2 Payment
Payments are processed by Stripe through Stripe Checkout. Accepted methods include cards and, where available, Apple Pay and Google Pay. By subscribing, you authorize us (through Stripe) to charge your chosen payment method for the subscription fee and applicable taxes. Stripe's terms also apply to your payment.
6.3 Automatic renewal
Your Pro subscription renews automatically. Unless you cancel, it will renew at the end of each billing period (each month for monthly plans, each year for yearly plans) and your payment method will be charged the then-current price for that period, plus any applicable taxes. It will continue to renew until you cancel.
6.4 How to cancel
You can cancel at any time from the billing portal inside the app (opened from your account or billing settings). You can also email [CONTACT EMAIL] and we will cancel for you. Cancellation takes effect at the end of your current billing period: you keep your paid plan's access until then, and you won't be charged again. After that your account moves to the Free plan and your journal stays in place; paid-only features become unavailable. If you switch between Pro and Max, Stripe prorates the change as shown in the billing portal.
6.5 Price changes
We may change Pro prices. If we do, we will give you advance notice by email or in the app at least [30] days before the change applies to your subscription. The new price will apply from your next renewal after the notice period. If you don't want to pay the new price, you can cancel before it takes effect.
6.6 Taxes
Prices may not include sales tax, VAT, GST or similar taxes. Where we are required to collect them, they will be shown at checkout and added to your charge.
6.7 Failed payments
If a renewal payment fails, Stripe may retry the charge and we may notify you to update your payment method. If payment still isn't received after a reasonable period, we may suspend or downgrade your account to the Free plan until payment is made. Your journal content is not deleted because of a failed payment.
6.8 Promotions
If we offer a discount or promotional price, its specific terms (such as duration and which plan it applies to) will be shown when you redeem it. After the promotion ends, the regular price applies unless you cancel.
7. Refunds
Payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or periods in which you didn't use the Service, except where required by law. When you cancel, you keep access until the end of the period you've paid for.
Your statutory rights are not affected. Some jurisdictions give consumers rights that override this section. For example, if you are a consumer in the EEA or UK, you may have a 14-day right to withdraw from a digital-services contract; by starting to use Pro immediately after purchase, you request that the service begin during that period and acknowledge that, where the law allows, you may lose or reduce your right of withdrawal once the service has been fully or partly provided.
If you believe you were charged in error, contact [CONTACT EMAIL] within [30] days of the charge and we'll look into it. Any refund we choose to give outside of legal requirements is a one-time courtesy and doesn't create an obligation to give future refunds.
8. Your content
- You own your content. Your trades, notes, screenshots, photos, setups, rules, checklists, tags and other material you add ("Your Content") remain yours.
- Limited license to us. You grant Trade5 a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display Your Content only as needed to operate, secure and provide the Service to you (for example, syncing it across your devices or generating flash cards from your setups). This license ends when you delete Your Content or your account, except for copies in backups that are deleted on our normal schedule or that we must keep by law.
- Your responsibility. You are responsible for Your Content, including screenshots you upload. Make sure you have the right to upload it, and don't upload other people's personal data, confidential information, or material that infringes someone else's rights (for example, content from paid platforms or data feeds whose terms forbid it).
- Backups. You are responsible for keeping your own backups using the in-app JSON export.
- Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
9. Acceptable use
You agree not to:
- break any law or regulation, or use the Service for fraud, market manipulation or other unlawful purposes;
- upload malware, or content that is unlawful, infringing, harassing, hateful, obscene or otherwise objectionable;
- try to access other users' accounts or data, or probe, scan or test the vulnerability of the Service without our written permission;
- interfere with or disrupt the Service, or place an unreasonable load on it or on third-party services it relies on (such as by scraping or automated bulk requests);
- copy, resell, sublicense or commercially exploit the Service, or use it to build a competing product;
- reverse engineer or decompile the Service, except to the extent the law allows despite this restriction;
- bypass plan limits, paywalls or security features; or
- misrepresent simulated or practice results as real trading performance, including in marketing to others.
10. Third-party content & services
- Videos. The Mindset library links to videos published on YouTube by independent creators (including ICT, Anton Kreil / ITPM and PB Trading). These videos belong to their creators, are linked, not hosted by us, and reflect the views of their creators only. Watching them is subject to YouTube's terms.
- Charts and market data. Practice mode uses TradingView's open-source Lightweight Charts library and fetches public price history from Binance's market-data API. The optional live chart is a TradingView widget. CSV data you import is your responsibility. All market data is provided "as is" and may be delayed, incomplete or inaccurate.
- Payments. Payments are handled by Stripe under Stripe's terms.
- No affiliation or endorsement. Trade5 is not affiliated with, endorsed by or sponsored by TradingView, ICT, ITPM / Anton Kreil, PB Trading, Binance, Stripe, Google or YouTube. Their names and trademarks belong to their owners and are used only to identify their content or services.
- We are not responsible for third-party content, websites or services, or for their availability, and your use of them is at your own risk and subject to their terms.
11. Intellectual property
The Service, including its software, design, text, graphics, the Trade5 and TradeFive names and logos, and all related intellectual property (excluding Your Content and third-party materials), is owned by Trade5 or its licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial journaling and education. Open-source components are licensed under their own licenses. All rights not expressly granted are reserved.
12. Beta features
We may offer features labeled "beta", "preview", "experimental" or similar. These are provided for evaluation, may contain bugs, may change or be removed at any time, and are provided without any warranty or commitment of availability.
13. Disclaimer of warranties
To the fullest extent permitted by law, the Service and all content, data and features are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Service will be uninterrupted, secure or error-free, that data (including market data and calculations such as P&L, risk and rule tracking) will be accurate or complete, that your content will never be lost, or that use of the Service will improve your trading or produce any particular result.
Some jurisdictions don't allow certain warranty exclusions, so some of the above may not apply to you.
14. Limitation of liability
To the fullest extent permitted by law, Trade5 and its owners, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or trading capital, including any trading or investment losses, arising from or related to your use of, or inability to use, the Service, any content or data in it, or any decision you make based on it, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US $50.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. If you are a consumer in the EEA or UK, these limits apply only to the extent permitted by your local law.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Trade5 and its owners, employees and contractors from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from (a) Your Content, (b) your misuse of the Service, (c) your violation of these Terms, or (d) your violation of any law or the rights of a third party.
16. Termination & account deletion
- By you. You can stop using the Service at any time. To close your account, use Delete account in the app. Deleting your account permanently deletes Your Content as described in our Privacy Policy; export a backup first if you want one. Deleting your account does not automatically cancel a paid subscription in every case, so please cancel in the billing portal first; if you can't, contact us.
- By us. We may suspend or terminate your access if you materially or repeatedly breach these Terms, if required by law, or if your use creates risk or harm for us, other users or third parties. Where reasonable, we will give you notice and a chance to export Your Content. If we terminate your account without cause, we will refund any prepaid fees for the unused part of your billing period.
- Discontinuation. If we decide to discontinue the Service, we will give you at least [30] days' notice where possible so you can export your data, and refund prepaid fees for any unused period.
- Sections that by their nature should survive termination (including 5, 7, 8 (feedback), 11, 13, 14, 15, 17 and 19) will survive.
17. Governing law & disputes
These Terms are governed by the laws of [STATE/COUNTRY], without regard to its conflict-of-laws rules. Before filing any claim, you agree to contact us at [CONTACT EMAIL] and try in good faith to resolve the dispute informally for at least 30 days.
If the dispute isn't resolved, it will be brought exclusively in the state or federal courts located in [STATE/COUNTRY], and you and we consent to their jurisdiction. Either party may bring an eligible claim in small-claims court.
If you are a consumer living in the EEA, UK or another jurisdiction whose laws give you the right to bring claims in your local courts or under your local consumer laws, nothing in this section takes away those rights.
18. Changes to these terms
We may update these Terms from time to time. We will change the "Last updated" date and, for material changes, notify you by email or in the app at least [30] days before they take effect, unless a change is required sooner by law or to address security. If you keep using the Service after the changes take effect, you accept the updated Terms. If you don't agree, you can stop using the Service and cancel your subscription before the changes apply.
19. General
- Entire agreement. These Terms, the Privacy Policy and the Risk Disclaimer are the entire agreement between you and us about the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision isn't a waiver of it.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets, with notice to you.
- Force majeure. We aren't liable for delays or failures caused by events beyond our reasonable control, including outages of third-party providers.
- Notices. We may send you notices by email to your account address or in the app.
